This End User License Agreement ("EULA") is a binding legal agreement between you ("End User" or "you") and Nalana, Inc. ("Company," "we," "us," or "our") governing your use of the Nalana desktop application for macOS and Windows (the "Application").
By downloading, installing, or using the Application, you agree to be bound by the terms of this EULA. If you do not agree, do not install or use the Application.
Subject to your compliance with this EULA, Nalana, Inc. grants you a limited, non-exclusive, non-transferable, revocable license to download and install the Application on macOS or Windows devices that you own or control, solely for your personal or internal business purposes.

The Application, including all intellectual property rights therein, is and shall remain the property of Nalana, Inc. and its licensors. This EULA does not convey to you any interest in or to the Application, but only a limited right of use revocable in accordance with the terms of this EULA.
The Application incorporates Blender, which is licensed under the GNU General Public License v3.0 (GPL). In accordance with the GPL, Nalana's modifications to Blender are made available under the same license. A copy of the GPL and attribution notices for all open source components used in the Application are available at nalana.io/open-source. Nothing in this EULA limits your rights under the GPL with respect to those GPL-licensed components.
You retain full ownership of all 3D content, models, scenes, and outputs you create using the Application ("User Content"). Nalana, Inc. claims no intellectual property rights over your User Content. By using the Application, you grant us a limited license to process your inputs solely to provide the Service to you. Your User Content remains on your device; we do not upload or store your project files.
The Application may collect anonymized usage data (such as commands used, feature interactions, and crash reports) to improve the product. We do not collect personal information through the Application. You may opt out of usage data collection in the Application settings. For full details, see our Privacy Policy.
Nalana, Inc. may provide updates, upgrades, or new versions of the Application from time to time. This EULA applies to all such updates unless they are accompanied by a separate license agreement. We reserve the right to discontinue the Application or any features thereof at any time.
This EULA is effective until terminated. Your rights under this EULA will terminate automatically without notice if you fail to comply with any term. Upon termination, you must destroy all copies of the Application in your possession. Sections 3, 9, 10, 11, and 12 shall survive termination.
Certain features of the Application require a paid subscription or credit purchase, governed by our Terms of Service. All purchases are subject to those terms, including our Refund Policy.
THE APPLICATION IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NALANA, INC. EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
NALANA, INC. DOES NOT WARRANT THAT THE APPLICATION WILL MEET YOUR REQUIREMENTS, OPERATE WITHOUT INTERRUPTION, OR BE ERROR-FREE.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL NALANA, INC. OR ITS OFFICERS, DIRECTORS, EMPLOYEES, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES (INCLUDING LOSS OF DATA, LOSS OF PROFITS, OR BUSINESS INTERRUPTION), ARISING OUT OF OR IN CONNECTION WITH THIS EULA OR THE USE OF THE APPLICATION, EVEN IF NALANA, INC. HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
NALANA, INC.'S TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR IN CONNECTION WITH THIS EULA SHALL NOT EXCEED THE AMOUNTS YOU HAVE PAID TO NALANA, INC. IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY.
This EULA shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of laws provisions. Any dispute arising out of or relating to this EULA shall be submitted to the exclusive jurisdiction of the state and federal courts located in Delaware.
The Application may be subject to U.S. export control laws. You represent that you are not located in a U.S.-embargoed country and are not listed on any U.S. government prohibited party list. You agree to comply with all applicable export and re-export control laws.
The Application is commercial computer software developed at private expense. If acquired by or on behalf of a U.S. Government end user, the Government's rights in the Application are limited to those rights customarily provided to the public pursuant to this EULA.
This EULA, together with our Terms of Service and Privacy Policy, constitutes the entire agreement between you and Nalana, Inc. regarding the Application and supersedes all prior agreements and understandings.
If any provision of this EULA is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
